CodeRabbit has raised $143 million in Series C funding at a $1.5 billion valuation, marking a rapid ascent for the AI-powered code review platform. The round was co-led by Atomico and Smash Capital, with participation from new investors BMW i Ventures, Datadog, Hirtle Callaghan and SineWave Ventures. Existing backers CRV, Scale Venture Partners and Flex Capital also returned.
The financing arrives less than a year after CodeRabbit secured $60 million in earlier funding. The company says revenue has grown more than fivefold year over year. It now conducts more than two million code reviews weekly across 17,000 customers, including Adyen, BMW, Indeed, JFrog, NVIDIA and Trivago.
CodeRabbit plans to use the capital to accelerate international expansion, increase research and product development spending, and invest more than $10 million in open-source support. That commitment will keep its AI review and agent capabilities free for maintainers.
The funding reflects a broader shift in software development. AI coding tools have enabled engineering teams to produce code at unprecedented speed, but validation and governance have not kept pace. “Writing code has gotten dramatically easier. Validating it hasn’t,” said CodeRabbit CEO Harjot Gill. He said AI-generated changes still require independent validation before reaching production.
CodeRabbit positions its platform as a control layer for both human and agent-generated software. Its system reviews changes using repository context, organisational standards and testing evidence, while highlighting blast radius and architectural dependencies that demand additional scrutiny.
Alongside the funding announcement, the company introduced Agentic Change Management, extending AI code review into prioritisation, explanation and continuous security monitoring. CodeRabbit Triage prioritises incoming pull requests by value, urgency and risk, routing low-risk changes to automated workflows and complex changes to human reviewers. CodeRabbit Change Stack analyses contracts, domain behaviour, integrations, tests and migrations across repositories.
The company is also expanding into security with an AI-powered product that continuously scans production code for vulnerabilities, verifying findings against code evidence before recommending remediation through pull requests. The approach targets vulnerabilities that traditional rule-based tools struggle to identify, including authorisation bypasses, insecure object references and business-logic flaws.
CodeRabbit recently opened a London office to serve European enterprise customers and plans further expansion across Europe, Japan and other Asian markets. Luca Eisenstecken, a partner at Atomico, will join CodeRabbit’s board. He said independent governance infrastructure will become increasingly important for AI-generated software, and that CodeRabbit’s model-agnostic approach can help organisations maintain quality as AI adoption accelerates.
