Pfizer is set to acquire Metsera, a U.S. biotechnology startup that focuses on obesity treatments, after its improved offer won the support of Metsera’s board. The deal, valued at roughly $10 billion, would pay up to $86.25 per share. Metsera’s board has unanimously recommended that shareholders approve the merger, which is expected to close promptly after a shareholder meeting on November 13.

The acquisition emerged from a bidding war between Pfizer and Danish pharmaceutical giant Novo Nordisk, the maker of the weight‑loss drug Wegovy and the antidiabetic medication Ozempic. Novo Nordisk announced it will not make a higher offer, saying it will continue to evaluate other business‑development and acquisition opportunities that align with its strategic goals. The contest began after Pfizer and Metsera announced an initial agreement in September, prompting a counteroffer from Novo Nordisk.

The U.S. Federal Trade Commission raised antitrust concerns about a potential Novo Nordisk acquisition, which Metsera’s board deemed to pose unacceptably high legal and regulatory risks compared with the Pfizer proposal. Novo Nordisk, however, maintains that its prospective deal would comply with antitrust laws.

The transaction underscores the growing importance of the obesity‑treatment market. The World Health Organization estimates that more than one billion people worldwide live with obesity, and over 800 million have diabetes as of 2022. By acquiring Metsera, Pfizer aims to strengthen its position in this market and expand its portfolio of obesity therapies.

The deal also reflects the pharmaceutical industry’s broader response to the escalating global health crises of obesity and diabetes. As the prevalence of these conditions rises, companies are investing heavily in research and development of new treatments.
